Represent bank and insurance companies, corporate and private equity clients in connection with tax aspects of transactions, structural planning and ongoing operations, including taxable and tax-free mergers and acquisitions, domestic and cross-border bank financing arrangements, investments, partnerships, restructurings and reorganizations and securities offerings. Draft, negotiate and review relevant tax provisions for a wide variety of transactions; credit agreements; acquisition financing; debt and equity public offerings; fund prospectus; stock, LLC interests and asset purchase agreements; private company merger agreements; LLC and partnership agreements. Assist clients in identifying tax issues, complying with applicable requirements and developing solutions to business and tax problems. Work closely together with clients and partners. Conduct comparative legal research and analysis of advanced topics in international tax.Requirements:Juris Doctor (J.D.) or Master of Laws (LL.M.) and two (2) years of experience in the position offered or as an Associate at an international law firm with an annual revenue in excess of $1 billion**All of the required experience must have included experience with: advising clients on tax-efficient structuring of private equity and public company acquisitions and dispositions utilizing knowledge of both partnership and corporate tax rules relevant to the same; advising clients on tax efficient distressed company restructurings utilizing knowledge of tax law related to cancellation of indebtedness and net operating losses; drafting, reviewing and negotiating the tax aspects of transaction agreements for private equity and public company acquisitions and dispositions and distressed company restructurings; drafting, reviewing and negotiating the tax provisions for debt and equity financing transactions, including drafting tax disclosure for public equity and debt offerings and drafting and negotiating the tax aspects of credit agreements; advising clients of current developments in the tax law; and participating in the tax aspects of private fund transactionsMust be admitted to NY bar.This role entails hybrid work, with time split between working in our New York City office and flexibility to telecommute from another U.S. location.

Minimum Salary: 390,000 Maximum Salary: 390,000 Salary Unit: Yearly
