Job Summary:

Discover is seeking a Lead Enterprise Integration Leader who will be responsible for providing cross-functional leadership for the company’s acquisitions and divestitures across all phases from target origination to delivery of integration. This executive leader will work directly with senior executives across each of the business and enterprise functions to develop a comprehensive roadmap to drive the integration’s near-and long-term growth agenda and establish a program structure ensure well managed delivery. This leader will be focused on all activities and responsibilities leading up to the acquisitions while working with the Integration leaders from each business unit. Through a deep understanding of the business, technology, operations, and customer & associate insights, this leader will be at the forefront of leading key multi-year programs that optimize the organizational capacity to deliver critical business outcomes, meeting externally committed timelines, while managing enterprise risks and key stakeholder alignment.

The Integration Leader will have significant accountability to senior leadership reporting directly to the EVP, Enterprise Transformation Officer. The role will ensure the success of acquisitions, strategic investments, partnerships and successfully integrating large-scale partnerships and acquisitions while establishing a high-performance cross functional team to drive cadence and accountability. The complexity of the role is underscored by the scale of delivery; managing complex interdependencies to meet a time critical milestone; and demands flawless execution to minimizing impacts to customer and employee experience.

  • Integration Governance: Defines integration architecture and governance, Shapes Steering Committee agenda, and is responsible forsubstantive integration decisions.

  • Engages with Executive Leadership: Ensure that the strategic objectives of acquisition integration are clearly defined and well understood by all stakeholders. Crafts plans for value post deal close, and ensures strategic objectives are obtained, highlighting the status of efforts, and providing recommendations to executive management for corrective action when required.

  • Responsible for the overall integration strategy, performance objectives, and oversight of IMO function to deliver the execution, and related coordination across all workstreams to support the full transaction lifecycle through Integrationefforts.

  • Establish Clear Objectives:

  • Take care of people: Work w/ HR (Human Resources) to ensure formal retention programs for critical talent, Ensure proactive management with detailed reporting and scorecards, and Monitor engagement through formal surveys and communication routines.

  • Obtain Regulatory Approval: Work closely with Legal, Compliance, and Regulatory teams to track and fulfill on all regulatory requests to ensure the deal is approved on a timeline basis, establish routines with the Office of Remediation to ensure continued progress on all existing regulatory commitments.

  • Flawless Execution on Legal Day-1: Work with Finance to ensure successful execution of the financial transaction, change legal name on all documents/disclosures, implement priority organizational changes that are not conversion dependent (e.g., cyber)

  • Prepare for Integration Day 1: Orchestrate sharing of information and strategy to facilitate initial Customer Day-1 planning, data mapping, data retention, and decommission planning.Develop blueprints for post-integration operating models to include technology, processes, suppliers, and organization/talent. Establish governance to track synergy realization.

  • Create an Effective Operating Model:

  • Manage information exchange and Communications (internal and external)

  • Coordinate talent approaches

  • Coordinate resource shifts between BAU (business as usual) and Integration

  • Support management of regulator expectations

  • Develop Integration plan (time, scope, and budget)

  • Develops an overarching design for success program structure

  • Provide strategic guidance on ensuring compliance with laws, regulatory requirements, policies, and procedures within integration efforts. Effectively identify and manage all risks and ensure compliance with regulations.

  • Develop and leverage the M&A Playbooks, cost modelers, and knowledge of Discover ecosystems and frameworks to assist with Due Diligence preparation for all business targets for Mergers, Acquisitions and Divestitures.

  • Facilitates bottom up and top-down governance, manages the various functional and cross functional work streams and identifies risks that may impede successful delivery of milestones.

  • For integrations, coordinate with Strategy, Corporate Development, Business sponsors / Product teams and other functions through all phases of the transaction to design the integration roadmap in line with transaction goals. Help drive towards initial cost estimates for envisioned integration activities.

  • Manage the integration processes for technology solutions, assuring alignment to the company’s data and integration architecture; leveragingappropriate use of M&A integration methods and content; ensuring appropriate expertise and capacity are aligned to deliver needs; reviewing and facilitating discussion around solution alternatives.

  • Optimize assignment of resources and make recommendations as needed. Unblock obstacles to required activities through strong stakeholder coordination and engagement.

  • Vehicle of change: Embeds and role models risk accountabilityand continuousimprovement. Maintains energy and momentum needed during complex and potentially lengthy integration.

Qualifications:

  • Minimum of 12+ years in M&A experience, including coordination of programs of cross-functional and global nature with a focus on technology and / or commercial areas either as part of an internal Corporate Development / strategy team, a global advisory firm or within Investment Banking

  • 12+ years Financial Services, Management Consulting, or related experience (Minimum)

  • Strong transaction experience related to origination, Due Diligence and Day 1 execution.

  • Experience working in a high-profile role that has frequent contact between functional and executive leaders, board members, collaborating across all leadership.

  • The ability to manage global programs and initiatives with significant complexity and risk for the impacted Business units and functionwithin a matrixedorganization is preferred.

  • Bachelor's degree required in engineering, computer science, business, or related field. Advanced degree or MBA preferred.

  • Understands core sources of value: Substantive understanding of commercial, operations, workforce, and systems, Capable of influencing corporate opinion.

  • Broad knowledge across functional areas with the strong ability to identify interdependencies early and drive resolution.

  • Strong general manager: Excellent decision-making instincts, Excellent communicator, Comfortable with ambiguity

  • Experience with financial project budgeting and controlling.

  • Proven ability to build relationships with, and influence all levels within an organization, from board members, senior management to technical and non-technical personnel.
