Job Description:

Department Overview :

The Corporate Development Group is responsible for leading the process for the identification, research, analysis and internal presentation of acquisition / divestiture opportunities for TDBG globally. The Corporate Development Group will also provide leadership and direction in the due diligence process and provide a range of analytical support to enable effective and efficient execution on potential mergers and acquisitions in line with TDBG frameworks.

Job Description :

​The position reports to the VP Corporate Development. The Senior Manager, Corporate Development plays a pivotal role in structuring and leading analysis, managing due diligence processes, and summarizing and presenting results, including identification of key risks and opportunities. This position will also contribute in providing support to the Senior Executive Team (SET) on key strategic questions.

Key Responsibilities:

  • Play a lead role in overseeing the research and analysis for, and support corporate development activity across, a range of transactions including acquisitions, divestitures, strategic joint ventures and partnerships. This includes:

  • Developing strategic ideas and initiatives, monitoring industry developments, target identification

  • Conducting comprehensive assessment, analysis and valuation, including summarizing findings and identifying key risks and opportunities

  • Building financial models to help evaluate transaction opportunities

  • Leading project management for due diligence, including drafting the due diligence framework, managing data request lists and data room access, and compiling due diligence results

  • Conducting in depth due diligence coordination and presentation by working with multiple stakeholders including Finance and Capital departments to develop deal structuring options

  • Overseeing the development of comprehensive presentations summarizing a given transaction and its strategic and financial impacts for Senior Executive and the Board, as may be applicable

  • Working with internal partners including Investor Relations on external presentations

  • Working with the TD Legal team and/ or external advisors to support deal development

  • Post-announcement support and coordination: risk identification and management, approvals process, closing, integration support, etc.

  • Responsible for end-to-end management of certain transactions (size / complexity dependent), including

  • Managing the relationship with the target,

  • Coordinating internal and external resources required to assess and deliver the transaction (Bankers, Legal, Tax, Investor Relations etc.)

  • Build and maintain relationships with key internal and external stakeholders, along with external data sources including sources for published reports, consultancies and industry experts on topics of interest.

  • Mentor, coach and help a small team of Managers, Associates and support staff

Job Requirements :

  • Comfortable managing and prioritizing multiple projects

  • Ability to work effectively on small and large teams

  • Ability to extract key messages from financial analysis and understand the implications as they relate to TDBG and other industry players

  • Maturity, presence, sensitivity and experience in dealing with senior relationships (internal management, external advisors, employees, etc.)

  • Willingness and ability to be flexible, work independently, be self-directed, organized, and articulate

  • Demonstrated knowledge of key finance and accounting issues

  • High degree of numeracy and comfort with strategic / financial analysis

  • Excellent skills with MS Word, MS Powerpoint, MS Excel, including financial modeling

  • Deal experience preferred

Specific Educational Requirements:

BA in business, mathematics, economics or a related field with high numeracy content, or an M.B.A
